These Terms of Service ("Terms") govern your access to and use of services provided by Exodus Elevators, LLC ("Exodus," "we," "us," or "our"), a Texas limited liability company. By engaging our services, you ("Client," "you," or "your") agree to be bound by these Terms.
1.1 Scope of Services. Exodus provides elevator maintenance, repair, modernization, inspection, consultation, and cab design services ("Services") for commercial, residential, and industrial properties. Specific services will be detailed in service contracts, work orders, or proposals.
1.2 Service Contracts. Preventive maintenance agreements are subject to terms specified in the executed service contract, including service frequency, scope, and pricing.
1.3 Emergency Services. Emergency repair services are available 24/7. Emergency service rates and response times are outlined in your service agreement or upon request.
2.1 Pricing. All pricing is as quoted in proposals, service agreements, or work orders. Prices are subject to change with 30 days' notice for ongoing maintenance contracts.
2.2 Payment Due. Payment is due within 30 days of invoice date unless otherwise specified. Late payments may incur a 1.5% monthly finance charge.
2.3 Taxes. All prices are exclusive of applicable sales taxes, which will be added to invoices as required by law.
3.1 Workmanship Warranty. We warrant that all Services will be performed in a professional and workmanlike manner in accordance with industry standards. Repair work is warranted for 90 days from completion.
3.2 Parts Warranty. New parts installed carry manufacturer warranties. We do not warrant used or customer-supplied parts.
3.3 Exclusions. Warranties do not cover damage caused by misuse, unauthorized modifications, Acts of God, or failure to maintain equipment per manufacturer specifications.
4.1 Service Limitation. Our liability for any claim arising from Services is limited to the amount paid for the specific service giving rise to the claim.
4.2 Consequential Damages. In no event shall Exodus be liable for indirect, incidental, special, or consequential damages, including lost profits or business interruption.
4.3 Property Access. Client is responsible for providing safe access to equipment. We are not liable for pre-existing conditions or damage caused by accessing equipment in hazardous conditions.
5.1 Code Standards. All work performed complies with applicable ASME A17.1, ASME A17.2, ADA, and local building codes current at time of service.
5.2 Safety Violations. We reserve the right to refuse service or take equipment out of service if conditions pose imminent safety hazards.
5.3 Inspections. Inspection services provide observations only and do not constitute certifications or guarantees of equipment condition.
6.1 Service Contract Cancellation. Either party may terminate ongoing service contracts with 60 days' written notice. Early termination fees may apply as specified in your agreement.
6.2 Work Order Cancellation. Cancellations of scheduled service calls require 24 hours' notice. Late cancellations may incur fees.
6.3 Non-Payment. We reserve the right to suspend services for accounts more than 30 days past due.
7.1 Access Requirements. Client must provide safe, unobstructed access to all equipment during business hours or as scheduled. Delays due to access issues may result in additional charges.
7.2 Site Safety. Client is responsible for providing a safe work environment, including adequate lighting, ventilation, and disclosure of hazardous materials.
8.1 Proprietary Information. All proposals, designs, and technical documents remain the property of Exodus unless expressly transferred in writing.
8.2 Non-Proprietary Equipment. We specialize in non-proprietary equipment to ensure clients are not locked into single-vendor service relationships.
9.1 Governing Law. These Terms are governed by the laws of the State of Texas without regard to conflict of law principles.
9.2 Venue. Any disputes arising from these Terms shall be resolved in courts located in Harris County, Texas.
9.3 Arbitration. At our discretion, disputes may be submitted to binding arbitration under the rules of the American Arbitration Association.
10.1 Insurance. Exodus maintains general liability and professional liability insurance as required by law and industry standards.
10.2 Client Indemnification. Client agrees to indemnify Exodus against claims arising from Client's negligence or failure to maintain equipment per manufacturer specifications.
11.1 Modifications. We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated effective date.
11.2 Continued Use. Continued use of Services after changes constitutes acceptance of modified Terms.
